BY-LAWS OF

RICHMOND RUGBY FOUNDATION LTD.

ARTICLE I
TRUSTEES

Section 1

The number of Trustees of this Corporation shall be five (5)
and shall serve for a term of three (3) years excepting that any
Trustee elected prior to January 1, 1993, shall be elected in the
following manner:

Two to serve until December 31, 1999   or until their


successors are elected and qualify;

Two to serve until December 31, 2001   or until their

                       ,
successors are elected to qualify;, and

One to be elected to serve until December 31, 2000 . or until
his successor is elected and qualifies.

After January 1, 1999   Trustees shall be elected annually to
fill those vacancies arising from the  expiration of a Trustee's
previous term and shall serve for a term of three years or until
their successors are elected and qualify in office. However, no



provision herein contained shall be construed to disqualify a
Trustee from being re-elected any number of times. 

Section 2

The Board of Trustees shall submit to the annual meeting of

the  ( Delete THE UNITED RUGBY CLUB OF RICHMOND INC. OF VIRGINIA,) (Add The RRF Congress)

nominations for the vacancies created on the Board by the

expiration of terms, submitting an equal amount of nominations as
