The number of Trustees of this Corporation shall be five (5) and shall serve for a term of three(3) years excepting that any Trustee elected prior to January 1, 1993, shall be elected in the following manner:
Two to serve until December 31, 1999 or until their successor are elected and qualify.
Two to serve until December 31,2001 or until their successors are elected and qualify and
One to be lected to serve until Dec 31,2000 or until his succesor is elected and gualifies.
After January 1,1999 Trustees shall be elected annually to fill those vacancies arising from the expiration of a Trustee's previous term and shall serve for a term of three years or until their successors are elected and qualify in office. However, no provision herein contined shall be construed to disqualify a Trustee from being re-elected any number of times.
Section 2
The Board of Trustees shall submit to the annual meeting of The United Rugby Club of Richmond Inc. of Virginia nomiations for the vacancies created on the Board by the expiration of terms,submitting an equal amount of nominations as necessary.
Section 3
No Trustees of this Corporation shall serve as a appraiser of any property bought,sold or invested in by this corporation.
Section 1
The Chairman shall preside at all meetings of the Board of Trustees, shall see that all By-Laws, rules and regulations of the Corporation are enforced, and shall have general supervision over and direction of all other officers and agents of the Corporation. He shall appoint the chairman and the members of all committees that may be created by the By-Laws or by the Board of Trustees.
Section 2
In the absence or disability of the Chairman, and upon the occassion of vacancy in the office Chairman, the Vice Chairman shall perform the duties of the Chairman.
Section 3
The Secretary shall record all proceedings of the meeting of the Board of Trustees in a book or books kept for that purpose. He shall conduct the general correspondence of the corporation and shall notify members of meetings. He shall have charge of and safely keep all valuable papers, other than securities,belonging to the Corporation.
Section 4
The Treasurer shall keep a full and accurate account of the receipts and disbursements of the Corporation in appropriate books and shall disburse the funds of the Corporation by check or other warrant, to be signed as prescribed by the By-Laws, taking proper receipts for such disbursements, which shall be properly filed and arranged reference. All books and papers in his care shall be always open to the inspection of the Chairman or any member of the Board of Trustees. He shall render such reports to the Chairman as may be requested.
Section 1
All officers shall be elected for a term of one year by the Board of Trustees from among their membership and such election shall be held on or beore the 1st day of January of each year. any vacancy occurring within a term may be filled by the Board of Trustees.
Section 2
If for any reason there shall be a failure to elect all the members of the Board of Trustees or any officer, the Board of Trustees at its next meeting shall fill the seat.
Any trustee or officer may resign his office at any time, such resignation to be made in writing and to take effect from the time of its delivery to the Board of Trustees,unless the resignation is made effective at a later date. The acceptance of a resignation shall not be required to make it effective.
Section 2
Any officer may be removed by the persons authorized to elect or appoint such officer whenever in their judgement the best interests of the Corporation will be served thereby.
Section 3
If the Office of any Trustee or any officer becomes vacant for any reason, such vacancy shall be filled by the Board of Trustees.
Section 4
A Trustee may be removed from office at a meeting of the Board called expressly for that purpose, with or without cause, by such vote as would suffice for his election.
Section 5
Any vacancy occurring in the Board of Trustees, including a vacancy resulting from an increase by not more than two in the Board of Trustees.
No Trustee or officer shall receive directly or indirectly any salary, compensation or emoulument from the Corporation. The remuneration of all other agents and employees and servants shall be fixed from time to time by resolution passed by a majority vote of the Board of Trustees.
No contract relating to the operations conducted by the Corporation or for furnishing supplies to the Corporation shall be invaidated by reason of the fact that any Trustee or officer of the Corporation is interested therein either as a party to the contract or as a member of any firm, partnership, or stockholder in a corporation which is a party to such contract, so long as any such interest is disclosed to the Board prior to the acceptance of such contract.
Each person now, or hereafter, a Trustee or officer of the Corporation (And his heirs, executors and administrators) shall be indemnified by the Corporation against all costs and expenses, including all attorney's fees, imposed upon or reasonably incurred reason of his being or having been a Trustee or officer at the time such costs or expenses are incurred by, or imposed upon him, and whether or not the act or omisssion to act,which is the basis of the suit, action, pocceeding or claim, occured before or after the adoption of this Article of the By-Laws, except in relation to matters as to which he shall have been finally adjudged in such action, suit or proceedng, to be liable for negligence or misconduct in the performance of his duties as such offier or Trustee. Such right of indemnification shall not be deemed exculsive of any rights which he may be intitled under an order, By-law, agreement,vote or otherwise.
